TERMS AND CONDITIONS FOR ACE GLOBAL, LLC

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING OUR SERVICES OR BOOKING TRAVEL.
These Terms and Conditions govern the relationship between ACE Global, LLC ("we/us/our") and you, the purchaser and/or traveler ("Client" and "you/your"). By planning travel with us, using our website, or making travel arrangements through us, you agree to be bound by these terms. These terms include warranties, disclaimers, and exclusions of liability, which may restrict your rights and provide protection to us.
1. Agency Status and Relationship
We act solely as a booking agent for disclosed principal supplier tour operators, cruise lines, hotels, airlines, ground transportation, and other independent contractors providing accommodations, transportation, and other services ("Supplier(s)"). We are not the source or provider of the travel services. Such third-party Suppliers are exclusively responsible for providing the services contracted. You consent to the use of those Suppliers whose names appear in your travel documentation.
Superseding Agreements: While these Terms and Conditions serve as the universal baseline for all travel booked through ACE Global, LLC, certain specialized travel arrangements—including but not limited to Corporate Accounts and Content Creator Hosted Group Travel—may be governed by separate, executed contracts (e.g., a Corporate Master Service Agreement or Hosted Group Travel Agreement). In the event of a direct conflict between these general Terms and Conditions and a specialized signed contract, the specific terms, payment schedules, and cancellation policies outlined in the specialized contract shall supersede and take precedence.
2. Booking, Payments, and Financial Responsibility
You warrant that you are at least 18 years of age and possess the legal authority to enter into this Agreement and to make travel bookings with us. You agree to be financially responsible for all travel bookings made on behalf of yourself and any member of your traveling party.
Payments: All payments for travel are due before departure according to each Supplier's terms and conditions of booking.
Credit Card Authorization: By submitting a credit card authorization form to us, you agree to allow us to use your payment method to purchase travel products from our Suppliers on your behalf.
Chargebacks: Except in cases of fraud, you agree not to file any dispute with your bank or credit card company to avoid or violate any booking terms and conditions of us or our Suppliers, including cancellations or changes of itinerary for reasons beyond our control. If you attempt to chargeback, reverse, or recollect a previously authorized trip payment, we reserve the right to collect all additional costs, fees, and expenses associated with such chargeback, including, without limitation, attorney fees.
Agency Direct Payments and Processing Fees: In certain circumstances, ACE Global, LLC may process your travel payments directly through a third-party merchant processor (such as Stripe) rather than passing your payment details directly to a Supplier. By submitting payment through our direct invoicing system, you authorize ACE Global, LLC to charge your provided method of payment for the agreed-upon travel services. Please be aware that third-party merchant processing fees are strictly non-refundable. In the event of a trip cancellation where a refund is authorized and provided by the Supplier, any merchant processing fees incurred by ACE Global, LLC during your original transaction will be deducted from your final refund amount. All direct payments processed by us remain fully subject to the Chargeback policies outlined in this agreement.
3. Payment Verification, Fraud Prevention, and Security
To protect our clients and business, we utilize industry-leading security protocols. By submitting a payment, you authorize ACE Global, LLC ("The Agency") and its designated agents to conduct electronic verifications of your financial instrument and identity.
Authorized Agents & Secure Processing: All payments are processed through secure gateways (e.g., Stripe). You legally authorize The Agency and its officers, employees, independent contractors, and agents to validate your payment details.
Identity Verification Protocols: To prevent unauthorized use of your financial information, our system utilizes Address Verification Service (AVS), Card Verification Value (CVV) checks, and 3D Secure (3DS) technology. You agree to provide a billing address, phone number, and security code that exactly match the records held by your issuing bank. We reserve the right to cancel or pause any transaction that does not result in a "Full Match" or "Verified" status.
3D Secure (3DS) Authentication: Certain transactions may require 3D Secure authentication (e.g., Verified by Visa or Mastercard Identity Check) to validate that you are the authorized cardholder. By completing this check, you acknowledge that you have personally authorized the transaction.
Chargeback Policy & Liability: In the event of a "Friendly Fraud" chargeback (disputing a legitimate charge for services rendered, deposits paid, or penalties incurred), you agree that your successful completion of the 3D Secure check and/or AVS verification constitutes binding proof of your authorization. We will utilize all collected verification data to contest such disputes.
4. Concierge Research Fee and Premium Enhancements
ACE Global requires a $50 Concierge Research Fee before the commencement of travel planning. This non-refundable fee covers our dedicated time and expertise, including up to five (5) custom quotes, two (2) confirmed booking revisions (subject to Supplier terms), and a personalized guide.
Premium Enhancements: For travel packages that yield a qualifying agency commission of $200 or more ("Premium Bookings"), ACE Global will reinvest this fee into a complimentary trip enhancement (such as a local excursion or private transfer). This enhancement is subject to the following strict conditions:
It possesses no cash value and cannot be exchanged for cash, statement credits, or payouts.
It must be utilized on a single enhancement transaction; it cannot be split or combined across multiple smaller purchases to reach a $50 value.
It does not carry over an unused balance.
It is strictly "use it or lose it" and must be applied to the current Premium Booking.
Exclusive AI Concierge Services: Premium Bookings also include access to our exclusive 24/7 AI Concierge support. This service activates thirty (30) days prior to your scheduled departure date and concludes upon your safe return home.
5. Travel Booking Deposits and Supplier Terms
All Travel Booking Deposits (Standard, Deluxe, Premium, Elite) are applied directly toward the cost of your travel arrangements. Refund eligibility is governed by strictly defined terms.
Two Sets of Terms: Refund eligibility, penalties, and cancellation fees are governed by: (1) The individual policies of the selected Suppliers (e.g., resorts, airlines, cruise lines); and (2) ACE Global, LLC's applicable administrative policies.
Acceptance of Risk: By authorizing this payment, you acknowledge acceptance of both the Supplier's and The Agency's cancellation policies. You understand that many Supplier deposits are non-refundable or non-transferable immediately upon payment. ACE Global, LLC acts solely as an intermediary and is not responsible for the acts, omissions, or financial default of third-party Suppliers.
6. Cancellations, Changes, and Refunds
Separate Supplier terms and conditions will apply to your reservation and purchase of travel-related goods and services that you select. You agree to abide by the terms and conditions of purchase imposed by any Supplier that you have selected on an itinerary you have approved.
Cancellation Penalties: You understand that failure to make the final payment or any violation of a Supplier's conditions of purchase may result in cancellation of your reservations. As a result of cancellation, third-party Supplier penalties will apply, as well as Agency Cancellation Penalties as defined in Section 4 (Concierge Research Fee and Premium Enhancements) and Section 5 (Travel Booking Deposits).
Changes: If you decide to change any portion of your confirmed arrangements before departure or during your trip, we will attempt to assist you. Certain bookings may not be able to be changed. You will be responsible for any cost increases imposed by the Supplier, as well as any agency or Supplier change fees. All cancellation or change requests must be sent to us in writing.
7. Travel Documents and Identification Requirements
It is the responsibility of each Client to obtain and carry a valid passport book, visa(s), and all other documents required by applicable government regulation.
Passports: Some countries require that your passport be valid at least six months beyond the dates of your trip. We strongly recommend that you consider that certain countries will not admit a passenger if their passport expires within six (6) months of the anticipated date of return. Non-United States citizens may require additional documentation.
Visas: We neither control nor warrant the issuance of visas or approval of visa waivers related to your travel. Should a visa not be issued, we are not responsible for lost payments made toward the contemplated trip.
Document Verification: The name, date of birth, and gender that appear on your identification card must exactly match the same data listed on airline ticket(s) and booking records. When you receive any travel documents, it is your responsibility to review and verify all information for accuracy. Contact us immediately if changes or corrections are required.
Third-Party Bookings and Group Hosts: If you are booking travel on behalf of another individual (including corporate employees), or if you are participating in a Hosted Group trip, you acknowledge that ACE Global, LLC and the Group Host/Corporate Entity are not responsible for verifying the validity of the individual traveler's documentation. The individual traveler assumes full responsibility for obtaining all necessary travel documents.
8. Health, Safety, and Risks
Travel to certain destinations may involve greater risk than others. We urge Clients to review travel prohibitions, warnings, announcements, and advisories issued by the United States Government before booking travel to international destinations. It is the responsibility of each passenger to be aware of the US State Department travel advisory for the countries visited.
Health Responsibilities: You must have the proper immunizations and health screenings and required documentation of such immunizations and screenings before travel. We shall not assume responsibility for the accuracy of health, vaccination, or documentation requirements. The individuals traveling through this booking assume full and complete responsibility for checking and verifying all required vaccinations for the intended destination(s).
9. Travel Insurance
The purchase of travel insurance is highly recommended on all trips. Unless specifically noted, travel insurance is not included in the cost of the client's itinerary.
Without appropriate travel insurance, you understand and agree that if you cancel or interrupt your travel for any reason, portions of the trip may not be refunded, and our cancellation penalties and travel Suppliers' cancellation penalties will apply, resulting in the loss of monies up to the full cost of your travel booking and related costs. If you decline to purchase insurance, we will require that you execute an insurance waiver. We are not a licensed insurance broker, and our advisors are not qualified to answer technical questions about benefits, exclusions, and conditions of any of the insurance offered.
10. Limitations Of Responsibility And Disclosure
Because we act as agents for disclosed principal Suppliers and do not have the right to control the operations of such independent operators and Suppliers, you agree that we are not liable for any personal injury or property damage that may arise out of these services. We accept no liability or responsibility for any personal injury, property damage or other loss, accident, delay, defect, irregularity or inconvenience caused by any wrongful or negligent act or omission on the part of any service provider. You agree to look solely to the actual suppliers of the services for any remedy in the event of any loss, damage, injury, or claim.
We hereby disclaim any liability, whether based on contract, tort, strict liability, or otherwise, including without limitation liability for any direct, punitive, special consequential, incidental or indirect damages in connection with the goods or services provided by any principal supplier booking through us. This includes, without limitation, liability for any act, error, omission, injury, loss, accident, delay or irregularity which may be incurred through the fault, negligence, willful acts, omissions or otherwise of such supplier, including their bankruptcy or cessation of operations and other matters outside of our control.
You agree and understand that any recovery from us will be limited to the amount of commission and fees actually received by us for your travel transactions.
Benefit of Exclusion: All limitations of liability, disclaimers, and waivers set forth in these Terms and Conditions shall apply equally to protect ACE Global, LLC and its officers, directors, employees, agents, and independent contractors.
11. Force Majeure
We will not be in breach of these terms and conditions or otherwise be liable to you, for any failure or delay in performing an obligation under this Agreement that is due to any causes to the extent beyond our reasonable control, including acts of God, accident, riots, war, terrorist act, epidemic, pandemic, quarantine, civil commotion, natural catastrophes, governmental acts or omissions, national strikes, fire, explosion, and any other unforeseen circumstance which is beyond our control.
Each of our Suppliers has terms and conditions that include Force Majeure provisions. In the event that a Force Majeure event occurs, those Suppliers may be entitled to, and may in their sole and absolute discretion, vary, postpone or cancel any itinerary or arrangement in relation to the trip.
12. Pricing and Errors
We reserve the right to correct errors. In the event of any pricing error or omission, we reserve the right to adjust such pricing or make any other corrections. All offers, incentives, and Supplier promotions are subject to availability and may change without notice.
13. Governing Law, Jurisdiction, and Attorneys' Fees
These Terms and Conditions and any disputes arising in connection herewith shall be governed by the internal laws of the State of Minnesota, without regard to its conflicts of laws principles. You hereby consent to the exclusive jurisdiction and venue of courts in Ramsey County, Minnesota in all disputes arising out of or relating to travel bookings with us. All actions relating to this Agreement shall be brought and tried in the Ramsey County District Court, State of Minnesota.
In the event of an action to enforce this Agreement or to seek remedies for breach of this agreement, including the failure to make timely payment, the prevailing party shall be entitled to recover from the other party its costs, disbursements, and reasonable attorney’s fees.
14. General Provisions
Severability: If any part of these Terms and Conditions is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and agreement shall continue in effect.
Entire Agreement: These Terms and Conditions (and any other terms and conditions referenced herein) constitute the whole agreement between the Client and us with respect to travel bookings made with us, and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between Client and us.
Changes to Terms: We reserve the right, in our sole discretion, to change these Terms and Conditions at any time. Updated versions of the Terms will be provided to Clients during the Client Intake process and take effect immediately upon posting.

The chatbot widget also automatically collects technical data associated with your session (such as IP address and browser type) to maintain the chat connection.
3. How We Use Your Information
We use the information we collect for the following purposes:
Service Provision: To process transactions, manage your travel arrangements, and provide support.
Communication: To send you information, updates, confirmations, and respond to your inquiries.
Improvement: To analyze usage trends, determine technical design specifications, and improve our website and service offerings.
Marketing: To provide you with brochures, targeted advertising, or information about offers we believe will be of interest to you.
4. Information Sharing and Disclosure
We do not sell e-mail addresses. However, we may share information in the following circumstances:
Strategic Partners (WorldVia Travel Network): We partner with WorldVia Travel Network to facilitate travel arrangements and operational support. We may share your information with them to ensure the successful delivery of our travel services and to maintain our high standards of quality assurance.
Service Providers: We share data with trusted third-party vendors (e.g., payment processors, travel companies, CRM providers), independent consultants, workflow automation platforms (such as Make.com), and Artificial Intelligence service platforms that act on our behalf to provide support services and 24/7 concierge assistance.
Designated Agents: If applicable, your information is shared with the travel agent with whom you have a relationship to ensure personalized service.
Legal Compliance: We may disclose information if required by law, to respond to claims of rights violations, or to protect the rights and safety of our company and users.
Business Transfers: In the event of a merger, acquisition, or sale of assets, personal information may be transferred to the successor.
SMS Privacy Disclosure: Mobile information will not be shared with third parties/affiliates for marketing/promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.
5. Your Rights and Choices
Opt-Out: You may opt out of receiving non-essential communications or newsletters by emailing or contacting us directly.
Access and Correction: You may request access to, correction of, or deletion of your personal information.
Withdrawal of Consent: If you have granted us consent to use your data, you can withdraw that consent at any time.

6. International Data Transfers
Given that the Internet is a global environment, using the Internet to collect and process personal data necessarily involves the transmission of data on an international basis. By using our website and communicating electronically with us, you acknowledge and agree to our processing of personal data in this way. This includes the transmission of chat logs and widget data to our third-party AI service providers.
7. Children's Privacy
Our website is intended for adults. We do not knowingly collect personal information from children under the age of 13. If a user is under 18, they may not provide personal information without parental consent.
